1. Acceptance of Terms

By accessing or using PostDeskAI ("the Service"), operated by firstSites, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

If you are using PostDeskAI on behalf of an organization (such as a marketing agency), you represent that you have the authority to bind that organization to these Terms.

2. Service Description

PostDeskAI is an AI-powered content generation and social media publishing platform that:

• Generates text content from your uploaded knowledge base using Claude AI (via Azure AI Foundry)
• Generates images using DALL-E (via Azure AI Foundry)
• Creates short-form videos by combining images, AI-generated captions, and royalty-free background music from Pixabay
• Publishes videos to your connected TikTok account using TikTok's Content Posting API
• Provides AI-powered campaign analysis and recommendations for marketing agencies managing Google Ads accounts

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• You must be at least 18 years old to use the Service

4. TikTok Account Connection

• To use the publishing features, you must authorize PostDeskAI to access your TikTok account via TikTok's OAuth 2.0 flow
• You must be the owner of or have authorization to manage the TikTok account you connect
• You may revoke PostDeskAI's access to your TikTok account at any time through TikTok's settings or by contacting us
• PostDeskAI's access to your TikTok account is subject to TikTok's Terms of Service and API Terms of Service

5. User Responsibilities

When using PostDeskAI, you agree to:

• Comply with TikTok's Community Guidelines for all published content
• Review all AI-generated content before it is published to your accounts
• Not use the Service to publish spam, misleading, defamatory, or unlawful content
• Not use the Service to harass, abuse, or harm others
• Not use the Service to infringe on the intellectual property rights of others
• Not attempt to reverse-engineer, decompile, or disassemble the Service
• Not use the Service to violate any applicable local, state, national, or international law

6. AI-Generated Content

6.1 Nature of AI Content

PostDeskAI uses artificial intelligence (Claude and DALL-E via Azure AI Foundry) to generate text and images. You acknowledge that:

• AI-generated content may not always be accurate, complete, or appropriate
• AI-generated content may occasionally produce unexpected or unintended results
• You are solely responsible for reviewing and approving all content before publication

6.2 Responsibility for Published Content

Once content is published to your TikTok account, you are fully responsible for that content. PostDeskAI is not liable for any consequences arising from content published to your account, including but not limited to account warnings, suspensions, or bans imposed by TikTok.

7. Intellectual Property

7.1 Your Content

• You retain ownership of all knowledge base content, images, and other materials you upload to PostDeskAI
• By uploading content, you grant PostDeskAI a limited license to use that content solely for the purpose of providing the Service

7.2 AI-Generated Content

• AI-generated text is subject to the usage policies of Anthropic (Claude) and Microsoft Azure
• AI-generated images are subject to the usage policies of OpenAI (DALL-E) and Microsoft Azure
• You are responsible for ensuring that your use of AI-generated content complies with these policies

7.3 Background Music

• Background music is sourced from Pixabay under their Content License
• This music is royalty-free for commercial and non-commercial use

7.4 PostDeskAI

• The PostDeskAI platform, including its code, design, and branding, is the intellectual property of PostDeskAI
• Nothing in these Terms grants you rights to PostDeskAI's intellectual property beyond using the Service as intended

8. Agency Use

If you are a marketing agency using PostDeskAI to manage clients:

• You must have written authorization from each client to manage their accounts and data through PostDeskAI
• You are responsible for ensuring your clients' data is handled in accordance with applicable privacy laws
• AI-generated campaign recommendations are advisory — you are responsible for reviewing and approving any changes before they are applied
• PostDeskAI is not liable for any campaign performance outcomes resulting from AI recommendations

9. API and Service Availability

• PostDeskAI depends on third-party APIs including TikTok, Azure AI Foundry, and Pixabay
• We do not guarantee uninterrupted or error-free service
• Third-party API rate limits, outages, policy changes, or deprecations may affect the Service's functionality
• We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice

10. Limitation of Liability

To the maximum extent permitted by law:

• PostDeskAI is provided "as is" and "as available" without warranties of any kind, express or implied
• We do not warrant that AI-generated content will be accurate, appropriate, or fit for any particular purpose
• We are not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• We are not liable for any actions taken by TikTok or any other third-party platform against your account
• We are not liable for any loss of data, revenue, or business opportunities
• Our total aggregate liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim

11. Indemnification

You agree to indemnify and hold harmless PostDeskAI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Content published to your social media accounts through the Service
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

• You may stop using PostDeskAI and disconnect your accounts at any time
• You may request account deletion by contacting us — all associated data will be deleted within 30 days
• We reserve the right to suspend or terminate your access if you violate these Terms
• Upon termination, your right to use the Service ceases immediately
• Sections 6.2, 7, 10, 11, and 13 survive termination

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms shall be resolved in the courts of Australia.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
